Litigation We have in-depth pre-trial, trial and appellate experience. We practice in the federal, state and appellate courts and represent parties, which have run of the mill commercial claims to more complex claims including those involving intellectual property, business, commercial and corporate disputes, real estate, and securities. Intellectual Property We litigate in the intellectual property field: we prosecute and defend trademark, unfair competition and copyright infringement actions in the federal court, handle domain name disputes before the World Intellectual Property Organization and cancellation and opposition proceedings before the Trademark Trial and Appeal Board. The firm advises how to protect and transfer intellectual property and rights, files trademark and copyright applications, interacts with the Trademark Office and assists in obtaining international trademarks. We were successful in making new law in the area of international copyrights. We do licensing work and have been involved in negotiating licenses with major designers. Bankruptcy We have been successful in reorganizing companies in Chapter 11 and obtaining confirmations of reorganization plans as well as confirming plans under Chapter 13. Our practice also encompasses creditors’ rights and claims against companies that have filed under Chapter 11 for relief. Over the years of our practice, we have represented numerous individuals in Chapters 7 and 13 filings and have obtained discharges in bankruptcy. We provide personal attention to each matter and try to be responsive to the problems of debtors. Staying current with bankruptcy law is also one of our goals. Real Estate We review and prepare commercial leases, represent buyers and sellers of commercial and residential real estate, cooperatives and condominiums. We have represented parties involved in the purchase and sale of commercial and residential buildings in New York City. Transactional Work We do commercial work and have handled complex commercial transactions involving public and private companies. We represent buyers and sellers of companies and businesses, handle acquisitions and mergers, and focus on the structuring of the transaction and related tax and securities’ problems as well as protecting the seller on installment sales. We also form corporations and limited liability companies and prepare shareholders’ agreements, employment and other types of agreements. We also represent start-up and public companies and negotiate financing with investors and venture capital companies with the prospect of a later public offering.
